Terms of Service
This is the agreement between you and ZHCLOUD LLC for the use of WuJi. Please read section 4 on health boundaries and section 6 on subscriptions even if you skip the rest.
1. Who you are contracting with
WuJi (吾季), the e5elements.com website and the E5 Elements brand are operated by ZHCLOUD LLC, a limited liability company formed in the State of Wyoming, United States, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States and Employer Identification Number 98-1969496. In this document "we", "us" and "our" mean ZHCLOUD LLC, and "you" means the individual accepting these terms.
By creating an account, or by using WuJi at all, you agree to these terms. If you do not agree, do not use the service.
2. Eligibility
- You must be at least 18 years old. WuJi is not offered to children.
- You must be legally able to enter into a contract in the place where you live.
- You must not be located in a country subject to comprehensive United States trade sanctions, and you must not be a person with whom United States persons are prohibited from dealing.
- One account per person. Accounts are personal and may not be shared, sold or transferred.
3. What the service is
WuJi is a subscription software product that presents the traditional Chinese seasonal calendar and provides a private journal. Specifically, it computes solar terms and six-qi steps, quotes the classical sources behind those rules, offers optional personalised readings based on time inputs you choose to supply, stores daily check-ins and notes, and produces descriptive summaries of what you recorded.
Available features may differ by plan, region, device and version. We may add, change or withdraw features. If we withdraw something material that you are paying for, section 6.6 applies.
4. Health boundaries — please read
WuJi provides cultural and lifestyle reference material. It does not diagnose, treat, prevent or predict any medical condition. It is not a medical device, not a clinical decision tool, and not a substitute for advice from a qualified healthcare professional.
- If you experience chest pain, difficulty breathing, altered consciousness, severe bleeding or any other emergency, contact your local emergency services immediately.
- For symptoms that persist or worsen, consult a qualified healthcare professional.
- Never rely on WuJi to start, stop, substitute or dose any medicine, herbal formula or supplement.
- Our support team cannot assess symptoms, interpret test results or advise on treatment, and will decline to do so even if asked.
- Acupoint material is published as cultural reference for gentle self-massage only. It is not instruction in needling or any other clinical technique.
Computing a traditional rule correctly is not evidence that the underlying framework has medical predictive validity for you as an individual. The full text of this boundary is on the medical and content disclaimer page, which forms part of these terms.
5. Your account
- Give accurate registration information and keep it current.
- Keep your password confidential. You are responsible for activity under your account until you tell us it has been compromised.
- Tell us promptly at support@e5elements.com if you notice unauthorised access.
- You may delete your account at any time from Settings. Deletion is permanent and cannot be reversed.
6. Subscriptions, payment and cancellation
6.1 Prices and currency
Current prices are published on the pricing page and are stated in US dollars, excluding tax. The price shown at checkout, including any tax we are required to collect, is the price you pay.
6.2 Automatic renewal
Paid subscriptions renew automatically at the end of each billing period — monthly for Pro Monthly, every 12 months for Pro Annual — and we charge your payment method the then-current price for the next period. Renewal continues until you cancel. We email annual subscribers at least 7 days before each renewal with the date and amount.
6.3 One-time purchases
The Annual Seasonal Report is a single purchase for one year and one profile. It does not create a subscription and does not renew.
6.4 Cancellation
You may cancel at any time from Settings without contacting us and without giving a reason. Your access continues until the end of the period you have already paid for, and you are not charged again. Cancelling does not by itself delete your account or data.
6.5 Refunds
Our refund and cancellation policy forms part of these terms. In summary, we refund in full on request within 14 days of a first purchase or of any renewal charge, and statutory withdrawal rights apply on top of that where the law gives them to you.
6.6 Price and plan changes
We may change prices or the contents of a plan. We will give you at least 30 days' notice by email before a change affects a renewal, and you may cancel before it takes effect. If we materially reduce what a paid plan includes during a period you have already paid for, you may cancel and ask us for a pro-rata refund of the unused remainder.
6.7 Failed payments
If a renewal payment fails, we retry a limited number of times over about two weeks and email you. If it still fails, the subscription lapses to the Free plan. Your journal data is not deleted when a subscription lapses.
6.8 Payment processing
Card payments are processed by Stripe, Inc. We do not receive or store your full card number, expiry
or security code. Charges appear on your statement as E5ELEMENTS. Obtaining
entitlements by forging payment callbacks, tampering with orders or abusing refunds is a material
breach of these terms.
7. Acceptable use
Our acceptable use policy forms part of these terms. In short: do not attack, overload or reverse-engineer the service; do not scrape or bulk-export our content or database; do not resell or redistribute the product; do not use it to give anyone medical advice; and do not upload unlawful content.
8. Your content and your data
What you write in WuJi — journal entries, notes, symptom records, the time inputs you supply — remains yours. You grant us only the limited licence needed to host, back up, process and display it to you so that we can operate the service. We do not use your journal content to train models, we do not sell it, and we do not send it to advertising platforms.
How we handle personal data, the lawful basis for each purpose and the subprocessors involved are set out in the privacy policy. You can export or delete your data as described on the your data page.
9. Our intellectual property
The software, interface, rule engine, source registry, diagrams, original written content, brand names and logos are owned by ZHCLOUD LLC or its licensors. You receive a personal, non-exclusive, non-transferable, revocable licence to use WuJi for your own purposes for as long as you comply with these terms. Nothing else is granted.
Classical quotations are reproduced from the public-domain editions identified in the product under ordinary quotation practice. Our selection, arrangement, translation, annotation and evidence tiering of that material is our own work and is protected.
10. Availability
We work to keep WuJi available and we take backups, but we do not promise uninterrupted service. Maintenance, network conditions, third-party provider failures and events outside our reasonable control can all interrupt it. We do not offer a contractual uptime guarantee on consumer plans.
11. Disclaimers
To the fullest extent permitted by law, WuJi is provided "as is" and "as available", and we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that traditional interpretations presented in the product are medically accurate, predictive or applicable to you, because that is not what they are for.
12. Limitation of liability
To the fullest extent permitted by law, ZHCLOUD LLC is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or US$50.
We are specifically not liable for loss arising from treating cultural content as medical advice, or from delaying professional care because of something you read in WuJi.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any consumer rights that your local law gives you and does not permit us to waive.
13. Indemnity
You agree to indemnify ZHCLOUD LLC against claims, losses and reasonable costs arising from your breach of these terms or your unlawful use of the service. This does not apply to claims caused by our own breach or negligence.
14. Suspension and termination
You may stop using the service and delete your account at any time. We may suspend or terminate access if you materially breach these terms, if we are required to by law, or if your use creates a security or payment-fraud risk. Where it is safe and lawful to do so, we will tell you why and give you a chance to put it right first. If we terminate a paid account without cause, we refund the unused remainder of the period you paid for.
15. Changes to these terms
We may update these terms. The version number and effective date at the top of this page always show the current release. For material changes affecting your rights or your subscription, we give at least 30 days' notice by email before they take effect, and continuing to use the service after that date means you accept the new version. If you do not accept it, cancel and, if a change is materially adverse to you mid-period, ask us for a pro-rata refund.
16. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Sheridan County, Wyoming, and you and we each consent to that jurisdiction.
Before starting formal proceedings, please raise the issue with us at legal@e5elements.com and give us 30 days to resolve it. Most problems are cheaper and faster to fix this way.
If you are a consumer resident in a jurisdiction whose law gives you the right to bring proceedings in your own local courts or to rely on your own local consumer protection law, this section does not remove that right.
17. General
- These terms, together with the privacy policy, refund policy, billing terms, acceptable use policy and medical disclaimer, are the entire agreement between us.
- If any provision is held unenforceable, the rest remains in force.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these terms. We may assign them as part of a merger, acquisition or sale of assets, on notice to you.
- There are no third-party beneficiaries.
